Pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations 2015 (SEBI (LODR) Regulations) and in continuation of our letter dated 15th May 2025, we wish to inform that in terms of the Order No. 8/4/2020-Th.l dated 15th May 2025, issued by the Minister of Power, Government of India, the Board of Directors of NTPC Limited has approved the appointment of Dr. Anil Kumar Gupta (DIN: 00442146) and Shri Pankaj Gupta (DIN: 03415536) as Additional Directors (Independent Directors) on the Board of the Company through resolution passed by circulation on 16th May 2025 on terms & conditions as contained in the order issued by the Ministry of Power.

Further, in compliance with Circular No. LIST/COMP/14/2018-19 and NSE/CML/2018/02 dated 20th June 2018, issued by the BSE and NSE, respectively and as per confirmation received from Dr. Anil Kumar Gupta and Shri Pankaj Gupta, we hereby confirm that the aforesaid Directors are not debarred from holding the office of Director by virtue of any Order passed by the Securities and Exchange Board of India or any other such authority. They do not hold any shares of NTPC.

The requisite details pursuant to Regulation 30 of the SEBI (LODR) Regulations read with SEBI Master Circular No. SEBI/HO/CFD/PoD2/CIR/P/0155 dated 11th November 2024, are enclosed at “Annexure-A”.

This is in continuation of our letter dated 15.05.2025 regarding the captioned subject. It is further to inform that the Ministry of Power, Government of India vide its letter No. 8/4/2020-Th.1 (254042) dated 15th May 2025 has informed that the President of India has appointed Shri Sushil Chaudhari as Non-official Independent Director on the Board of NTPC Limited for a period of three years with effect from the date of notification of the aforesaid order or until further orders, whichever is earlier.

The Company is in process of completing the requisite statutory formalities for the appointment of aforesaid Independent Director. Further details, in terms of SEBI (Listing Obligations & Disclosure Requirements) Regulations, 2015 shall be filed separately.

This is to inform you that the Ministry of Power, Government of India vide its letter No. 8/4/2020-Th.1 (254042) dated 15th May 2025 has informed that the President of India has appointed Dr. K. Ghayathri Devi, Dr. Anil Kumar Gupta and Shri Pankaj Gupta as Non-official Independent Directors on the Board of NTPC Limited for a period of three years with effect from the date of notification of the aforesaid order or until further orders, whichever is earlier.

The Company is in process of completing the requisite statutory formalities for the appointment of aforesaid Independent Directors. Further details, in terms of SEBI (Listing Obligations & Disclosure Requirements) Regulations, 2015 shall be filed separately.

In line with Corporate Disclosure requirements, we wish to inform that, NTPC has decided to issue unsecured non-convertible debentures of Rs.4,000 crore on 09.05.2025, through private placement at a coupon of 6.84% p.a. for a tenor of 10 years, maturing on 09.05.2035, under the board resolution dated 29.06.2024 and subsequent approval obtained through shareholders’ resolution dated 29.08.2024.
 
This is the second issue of debentures under the above mentioned approval.
Proceeds will be utilized for, inter alia, funding of capital expenditure, refinancing of existing loans and other general corporate purposes.
 
The debentures are proposed to be listed on BSE.
 
Debenture Trust Deed will be duly executed as per the requirements of and within the period of time prescribed under the Companies Act and rules specified therein."

Please find attached herewith disclosure dated 02.05.2025 made by our subsidiary NTPC Green Energy Limited titled “Disclosure under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015” regarding Declaration of COD of third and last part capacity of 60 MW out of 150 MW Gujarat Solar PV Project of NTPC Renewable Energy Limited (NTPC REL), a stepdown subsidiary of NTPC Limited through its subsidiary NTPC Green Energy Limited.

With this, the total installed and commercial capacity of the NTPC group will become 80,155 MW.

Please find attached herewith disclosure dated 01.05.2025 made by our subsidiary NTPC Green Energy Limited titled “Disclosure under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015” regarding Declaration of COD of 75 MW capacity by a group company of our subsidiary NTPC Green Energy Limited w.e.f. 00:00 Hrs. of 02.05.2025. 

With this, the total installed and commercial capacity of the NTPC group will become 80,095 MW.

Pursuant to Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations 2015, we wish to inform that in terms of the Order No. 8/4/2020-Th.l dated 16th April 2025, issued by the Minister of Power, Government of India, the Board of Directors of NTPC Limited has approved the appointment of Shri Anil Kumar Trigunayat (DIN: 07900294), as an Additional Director (Independent Director) on the Board of the Company on 17th April 2025 for a period of one year w.e.f. the date of notification of the aforesaid order or until further orders, whichever is earlier.

The brief profile of Shri Anil Kumar Trigunayat and other details as per SEBI Master Circular dated 11th November 2024 is attached at “Annexure-A”.

Shri Anil Kumar Trigunayat does not hold any shares of NTPC. Further, as per the requirement of the Circular No. LIST/COMP/14/2018-19 and NSE/CML/2018/02 dated 20th June 2018 issued by the BSE and NSE respectively, we hereby confirm that Shri Anil Kumar Trigunayat is not debarred from holding the office of Director by virtue of any Order passed by the Securities and Exchange Board of India or any other such authority.

In terms of Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, we would like to inform you that consequent upon successful commissioning, the second part capacity of 90 MW out of 150 MW Dayapar Wind Energy Project Phase-I at Dayapar, Bhuj, Gujarat, under 450 MW Hybrid Project of NTPC REL, a step-down subsidiary of NTPC Limited through its subsidiary NTPC Green Energy Limited, is declared on Commercial Operation w.e.f. 00:00 Hrs. of 09.04.2025.

The first part capacity of 50 MW has already been declared on commercial operation w.e.f. 04.11.2023.

With this, the total installed and commercial capacity of the NTPC group will become 80,020 MW.

Pursuant to Regulation 30 read with Schedule III of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, it is hereby informed cautionary notices received from NSE & BSE and requisite details are enclosed at annexure-A & annexure-B, respectively. As mentioned in the said letters, copies of same are being disseminated to the Stock Exchanges. We take note of the contents of the said letters and will adhere to the compliance(s) stated therein.
